  1. Please read this License Agreement before using this software.  By using this
  2. software, you are agreeing to be bound by the terms of this License.  If you do
  3. not agree to these terms, promptly cease all further installation or use of the
  4. software.
  5.  
  6. DEFINITIONS
  7. In this Agreement, "ALIS" means Alis Technologies Inc.  , "LICENSEE" means you,
  8. the licensee of the SOFTWARE and "SOFTWARE" means the Alis Tango Multilingual
  9. Browser including any technology and utility software licensed by ALIS from the
  10. developers and owners thereof to ALIS, together with all accompanying
  11. documentation.
  12.  
  13. LICENSE
  14. In consideration of your undertaking to comply with the terms and conditions of
  15. this Licence Agreement, ALIS grants to you, LICENSEE, a non-exclusive
  16. non-transferable license to use the SOFTWARE and to view the documentation on a
  17. single computer system.  LICENSEE may not use the SOFTWARE on a network server
  18. or on more than one computer terminal at the same time.  This Agreement does
  19. not grant LICENSEE any rights to patents, copyrights, trade secrets, trade
  20. names, trade marks (whether registered or unregistered), or any other rights,
  21. functions or licenses in respect of the SOFTWARE.

  23. COPYRIGHT AND RESTRICTIONS ON USE
  24. The SOFTWARE contains copyrighted material, and in its human readable form it
  25. contains trade secrets and proprietary information owned by or licensed to
  26. ALIS.  Title to and ownership of the SOFTWARE and the documentation that
  27. accompanies the SOFTWARE and all intellectual property rights in the SOFTWARE
  28. and said documentation is and shall remain the sole property of ALIS and/or its
  29. licensors.  LICENSEE may not de-compile, reverse engineer, disassemble or
  30. otherwise reduce it to human readable form.  LICENSEE may not modify, rent,
  31. lease, loan or distribute copies of the SOFTWARE.  LICENSEE may not create
  32. derivative software based upon any trade secret or proprietary information of
  33. ALIS and/or its licensors.  LICENSEE may not electronically transfer the
  34. SOFTWARE over a network or telephone circuit.  LICENSEE may not sub-license,
  35. assign or transfer this License.  LICENSEE may not copy the printed information
  36. in the package.  LICENSEE may not adapt or use any trademark or trade name
  37. which is likely to be similar to or confusing with that of ALIS or any of its
  38. licensors or take any other action which impairs or reduces the trademark
  39. rights of ALIS or of its licensors.
  40.  
  41. LICENSEE may make one copy of the SOFTWARE for backup or archival purposes,
  42. provided that LICENSEE duplicates the copyright notice and other identifying
  43. information on the disk's label and affix such notice to the backup copy.
  44. LICENSEE may print a copy of the documentation from the disk only for
  45. LICENSEE's use for the sole purpose of operating the SOFTWARE.
  46.  
  47. LICENSEE further acknowledges that this License in not a sale of ALIS' and/or
  48. its licensors' intellectual property rights in the SOFTWARE and the
  49. accompanying documentation and that ALIS and its licensors continue to own
  50. title to the SOFTWARE and copyright to the printed information.
  51.  
  52. NO WARRANTY
  53. ALIS does not warrant, guarantee or make any representations that the functions
  54. contained in the SOFTWARE will meet LICENSEE's requirements or that the
  55. operation of the SOFTWARE will be uninterrupted or error-free.  Any other
  56. Software and any hardware furnished with or accompanying the Software is not
  57. warranted by ALIS. 
  58.  
  59. LIMITATION OF LIABILITY
  60. THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESSED
  61. OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF
  62. MERCHANTIBILITY AND FITNESS FOR A PARTICULAR PURPOSE, OR OF ANY OTHER TYPE,
  63. WHETHER EXPRESS OR IMPLIED, AND TO ANY REMEDY AGAINST ALIS AND /OR ITS
  64. LICENSORS, WHETHER IN CONTRACT, TORT, DELICT, QUASI-DELICT OR OTHERWISE.  SOME
  65. JURISDICTION DO NOT ALLOW THE EXCLUSION OF CERTAIN IMPLIED WARRANTIES SO THE
  66. PRECEDING EXCLUSIONS MAY NOT APPLY.

  68. IN NO EVENT WILL ALIS AND/OR OR ITS LICENSORS BE LIABLE FOR ANY SPECIAL,
  69. CONSEQUENTIAL, INCIDENTAL OR DIRECT OR INDIRECT DAMAGES (INCLUDING WITHOUT
  70. LIMITATION LOSS OF PROFIT) ARISING OUT OF LICENSEE'S USE OR INABILITY TO USE
  71. THE SOFTWARE OR PRINTED INFORMATION ACCOMPANYING IT, WHETHER OR NOT ALIS AND
  72. /OR ANY OF ITS LICENSORS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH LOSS,
  73. HOWEVER CAUSED AND ON ANY THEORY OF LIABILITY.  THIS EXCLUSION INCLUDES ANY
  74. LIABILITY THAT MAY ARISE OUT OF THIRD-PARTY CLAIMS AGAINST LICENSEE.  THESE
  75. LIMITATIONS SHALL APPLY NOTWITHSTANDING ANY FAILURE OF ESSENTIAL PURPOSE OF ANY
  76. LIMITED REMEDY.
  77.  
  78. EXPORT LAW ASSURANCES
  79. LICENSEE agrees that the SOFTWARE and other technical information, both printed
  80. and verbal, received from ALIS will not be exported outside of the United
  81. States except as permitted by the laws and regulations of the United States.
  82. If LICENSEE rightfully obtain the SOFTWARE and accompanying information outside
  83. of the United States, LICENSEE agrees not to re-export the SOFTWARE and
  84. information except as permitted by the laws and regulations of the United
  85. States and the jurisdiction in which LICENSEE obtained the Software.
  86.  
  87. US GOVERNMENT USE
  88. Use, duplication or disclosure of the SOFTWARE by the U. S.  Government is
  89. subject to "Restricted Rights", as that term is defined in the Department of
  90. Defense ("DOD") Supplement to the Federal Acquisition Regulations ("DFARS") in
  91. paragraph 252. 227-7013(c)(1)(ii) if to the DOD, or, if the SOFTWARE and/or
  92. accompanying information is supplied to any unit or agency of the U. S.
  93. Government other than DOD, the Government's rights in the SOFTWARE and/or
  94. accompanying information shall be as defined in subparagraphs (c)(1) or (c)(2)
  95. of FAR 52. 227-19, Commercial Computer software -Restricted Rights; or FAR
  96. 52. 227-14, Rights in General Data Alternative III, as applicable.  Alis

  100. TERMINATION
  101. This License shall remain in full force and effect unless and until terminated.
  102. This License will terminate immediately, automatically and without notice if
  103. LICENSEE fails to comply with any provision of this Agreement.  Upon
  104. termination, LICENSEE must stop using the SOFTWARE, erase or destroy all copies
  105. of the SOFTWARE, and destroy all printed information provided with the
  106. SOFTWARE.
  107.  
  108. ENTIRE AGREEMENT
  109. This agreement constitutes the entire agreement between you and ALIS and
  110. supersedes any other prior agreements or communications regarding the Software.
  111. If any provision of this agreement is held invalid, the remainder of this
  112. agreement shall continue in effect. 
  113.  
  114. WAIVER
  115. The failure by ALIS or any of its licensors to enforce at any time any of the
  116. provisions of this agreement, to exercise any election or option provided
  117. herein, or to require at any time the performance by you of any of the
  118. provisions herein will not in any way be construed as a waiver of such
  119. provisions.

  121. LANGUAGE OF AGREEMENT
  122. LICENSEE AGREES THAT THIS AGREEMENT BE DRAFTED IN THE ENGLISH LANGUAGE.

  125. GOVERNING LAW
  126. This Agreement shall be governed and be construed in accordance with the laws
  127. of the Province of Quebec and the laws of Canada applicable therein.
